These Terms of Service ("Terms") govern your use of the SyncPilot email migration service ("Service") operated by DMS ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service.

1. Acceptance of Terms

By using SyncPilot, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

SyncPilot is an email migration tool that allows you to transfer email messages between IMAP servers. The Service provides:

  • Configuration and management of IMAP server connections
  • Automated email synchronization between servers
  • Real-time monitoring and logging of migration jobs
  • Secure handling of email credentials and connections

3. User Responsibilities

As a user of SyncPilot, you agree to:

  • Provide Accurate Information: Supply correct and current email server credentials
  • Lawful Use: Use the Service only for lawful purposes and in compliance with all applicable laws
  • Authorization: Only migrate emails from accounts you own or have permission to access
  • Security: Maintain the confidentiality of your account credentials
  • Backups: Maintain backups of your email data before performing migrations
  • Resource Usage: Use the Service in a reasonable manner that does not abuse server resources

4. Prohibited Uses

You may not use the Service to:

  • Access email accounts you do not have authorization to access
  • Violate any local, state, national, or international law
  • Infringe upon the rights of others, including privacy and intellectual property rights
  • Transmit malware, viruses, or any malicious code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for spam or unsolicited commercial purposes
  • Reverse engineer, decompile, or disassemble any part of the Service

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Key points:

  • We do not store or access the content of your emails
  • Server credentials are encrypted in our database
  • All email transfers use SSL/TLS encryption
  • You retain ownership of all your email data

6. Service Availability and Modifications

We strive to provide reliable service, but we do not guarantee:

  • That the Service will be available at all times without interruption
  • That the Service will be error-free or secure
  • That defects will be corrected

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by DMS and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written permission.

8. Third-Party Services

The Service uses imapsync, an open-source email migration tool. SyncPilot relies on third-party email servers that you configure. We are not responsible for:

  • The availability or reliability of third-party email servers
  • Policies or practices of third-party email providers
  • Content or functionality of third-party services

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind
  • We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid for the Service in the past 12 months

You use the Service at your own risk. We recommend maintaining backups of all email data before using the Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless DMS and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. You may also terminate your use at any time by deleting your server configurations and sync jobs.

12. Data Retention After Termination

After termination:

  • Your server credentials will be permanently deleted
  • Sync job logs may be retained for up to 90 days for legal compliance
  • You remain responsible for any obligations incurred before termination

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which DMS operates, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved in the courts of the jurisdiction where DMS operates.

14. Dispute Resolution

If you have any concerns or disputes, please contact us first at [email protected]. We will attempt to resolve disputes informally and in good faith.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by:

  • Posting the new Terms on this page
  • Updating the "Last updated" date
  • Sending you an email notification (for material changes)

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and DMS regarding the Service and supersede all prior agreements and understandings.
